A foreign limited partnership that is subject to registration under the provisions of §9.001 of the Texas Business Organizations Code and that has the status of a limited liability partnership under the laws of a state other than Texas also must file an application for registration under §152.905 and Chapters 4 and 9 of the Texas Business Organizations Code before transacting business in Texas. Late filings fees pursuant to §9.054 of the Texas Business Organizations Code may be assessed against both the limited liability partnership application for registration and the limited partnership application for registration.
